The companies predict the deal will be finalized within six months, pending regulatory approvals.
Motherson supplies mirrors, interior modules, bumpers, wiring harnesses and molded plastic components to such carmakers as Daimler, Ford, Suzuki and Toyota. The company operates more than 230 plants in 37 countries.
Reydel supplies complete modular interior systems through 15 factories to BMW, General Motors, Nissan, PSA, Renault and Volkswagen. The company had been owned by New York City-based private equity firm Cerberus Capital Management LP.
Motherson says the acquisition will expand its markets and product range. The company aims by 2020 to have no component, customer or country accounting for more than 15% of its business.
