Fiat SpA, with its acquisition of Chrysler Group LLC now complete, says it plans to reorganize as Fiat Chrysler Automobiles NV.
FCA will be registered in the Netherlands, and its common shares will be listed in New York City and Milan. The company will be considered domiciled in the U.K. for tax purposes. The company says the structure won't affect the local taxes paid by its units.
Fiat's board approved a plan where Fiat shareholders will receive one FCA common share for each Fiat share held. FCA also will adopt a loyalty voting structure in which shareholders who keep their shares may receive additional special voting rights shares when the reorganization closes.
Fiat says it expects the restructuring to be completed by the end of 2014.
